Singapore is very welcoming to foreigners who want to incorporate. Foreigners can become directors and shareholders here without any restrictions. The only requirement is that each local company must have at least one resident director — a Singapore national or a Permanent Resident. To comply with this law, you can hire a Nominee director.
Your company can have as many directors as you want, but at least one needs to be local. If you do not have someone who can play the role, hire a nominee director. For example, there can be two directors: you and the nominee. If you apply for Employment Pass from your new company, you only need the nominee service while you wait for it (about 6 months). After that, you can be the only director.

Employment Pass and Dependant’s Pass
Employment Pass (EP) is the most common relocation option for foreigners who want to open their business and move to Singapore. It’s a work visa that allows you to live and work as well as bring your family under Dependant’s Passes. We can prepare your EP within 6 months and you don’t have to fly in until it’s ready. If you already have one and want to switch your EP to your new company, we’ll have it ready even faster.
Employment Pass is a type of work visa issued per specific company so it can invite foreign professionals, managers, executives, and technicians. It allows you to work exclusively for that company, live and bring your family to Singapore.
S$3,600 per month is the minimum for University graduates. S$6,000 if you are more mature. If you plan to bring family, the salary has to be higher, up to S$12,000 to support parents, for example. You can also take a self-assessment test on MOM website to evaluate your chances.
Letter of Consent (LOC) is a permission to work granted to DP holders by the Ministry of Manpower. It takes about 3 weeks to receive. There are three requirements to get one:
- The application has to be submitted by your employer — that is, your new company.
- Your DP has to be valid for 3 months.
- Your DP has to be sponsored by an EP, EntrePass or a Personalized EP holder. If your spouse or parent has an S-Pass, you can’t choose this option.
This is a work visa so your professional qualities and fit with the company will be evaluated. This is what the officials are looking for:
- Fixed salary amount;
- Professional experience that fits the desired job description;
- Education;
- The company business profile and its products description.
In some cases, authorities may ask you to go through a medical test. This can be done in a day in Singapore or in your local hospital that can provide a medical report in English.
It’s a visa for an EP holder’s immediate family members: the spouse and unmarried children under 21. It allows them to relocate to Singapore, live, study and apply for Letter of Consent In order to work.

Your company becomes dormant if you haven’t had any transactions or income for a year. The year, in this case, is your tax evaluation period, not a calendar one.
You still need to submit your annual tax return, that’s how IRAS (tax authority) knows you are actually dormant. You also need to hold an Annual General Meeting (AGM). You don’t have to gather physically, releasing necessary documents is enough.
The procedure to notify the Authorities (ACRA & IRAS) about your company’s dormancy status is, in essence, preparing your annual filings accordingly. The most important part is to make sure that you comply with the requirements for Dormant of each authority. If you want to close down your Singapore business, we can assist you to strike it off. However, if you do not rule out that you might use this company again, consider keeping it Dormant. It makes sense if you have a brand name, licenses or patents related to it. You can also use it to strategically hold investments in Singapore, however, you may not derive income from them.
File your annual return, or income tax returns, for your dormant company using Form C-S or Form C for Dormant Companyonline through the e-Service at mytax.iras.gov.sg e-Filing. Your company’s director, company secretary, or registered filing agent can do this annual return filing for you. If you want to do it yourself, make yourself an “Approver” through CorpPass.
You can also apply to IRAS for a waiver to be exempted from filing an annual return.
Check if you qualify:
- All financial statements and taxes for when the company was active have been filed
- Your company does not own any investments that generate revenue or income;
- You don’t intend to carry out any business transactions for the next two years
- You have de-registered for Goods and Services Tax (if you had registered for it)
Additionally, you don’t have to prepare financial statements from ACRA if you fulfil these three things:
- Your company is not a listed company or a subsidiary of a listed company
- Your company holds no has less than S$500,000 in assets
- Your company has been Dormant since the formation of the end of its previous financial year.
First of all, check if you need to file your dormant company accounts with IRAS.
You can apply for a waiver from IRAS if:
- All of your financial statements and taxes for the company since it was active have been filed
- There are no investments that generate revenue or income in your company;
- There is no intention of carrying out any business transactions for the next two years
- If your company registered for the Goods and Services Tax, de-register from it.
Next, check if you need to file your accounts with ACRA. If your company fulfils these three requirements, you won’t have to do so:
- Not a listed company or a subsidiary of a listed company
- Holds less than S$500,000 in assets
- Dormant since the formation of the end of its previous financial year.
